User Responsibilities

• VAT will be added to invoices where applicable

Intellectual Property

The content, organisation, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to our website and services are protected under applicable copyrights, trademarks, and other proprietary rights.

globalmindium retains ownership of all intellectual property rights in our methodologies, processes, templates, and proprietary materials. Clients receive a limited licence to use deliverables for their intended business purposes.

You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works, transmit, or in any way exploit any content or materials without our prior written consent. Any unauthorised use of our intellectual property may result in termination of services and legal action.

Client-provided materials, including logos, images, and content, remain the property of the client. By providing such materials, clients grant globalmindium a licence to use them solely for the purpose of delivering agreed services.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms of Service. By using our services, you consent to the collection and use of your information as outlined in our Privacy Policy.

We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR) and Irish data protection legislation. Both parties agree to comply with their respective data protection obligations when personal data is processed in connection with our services.

Limitation of Liability

To the maximum extent permitted by law, globalmindium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability to you for all claims arising from or related to our services shall not exceed the amount paid by you to globalmindium in the twelve (12) months preceding the event giving rise to liability.

We provide our services "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee specific results from our marketing services, as outcomes depend on various factors including market conditions, competition, and client implementation.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

Indemnification

You agree to indemnify, defend, and hold harmless globalmindium, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of our services in violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of applicable laws or regulations
• Any content or materials you provide to us for use in our services
• Your business operations and marketing activities

Termination

Either party may terminate service agreements in accordance with the specific terms outlined in individual contracts. Generally:

• Services may be terminated by either party with appropriate notice as specified in service agreements

• Upon termination, you remain liable for all charges incurred up to the termination date

Termination does not relieve either party of obligations that accrued prior to the effective date of termination.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the Irish courts.

These Terms constitute the entire agreement between you and globalmindium regarding the use of our services, superseding any prior agreements between you and globalmindium relating to your use of the services.

Force Majeure

globalmindium shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
